TBViral Licensing - Terms of Use

These Terms govern subscriptions to TBViral Licensing, a service operated by Mr Gatien RAKOTOZAFY, sole trader operating under the French micro-entreprise regime under the commercial name RKT MEDIA ("TBViral", "we").

By checking the box at checkout, you ("the Subscriber") agree to these Terms.

1. Professional use only

TBViral Licensing is reserved for professionals. By subscribing, you confirm that you are acting for the purposes of your trade, business or professional activity, including the operation of a YouTube channel as a business.

2. Plans

• One clip counts as one clip, whether used in a Short or a long-form video.
• The quota resets every month. Unused clips do not roll over.
• Annual plans include the same monthly quota, renewed each month for 12 months.
• Unlimited has no monthly clip limit. TBViral may contact the Subscriber in case of manifestly abnormal use.

3. License granted

TBViral owns or exclusively represents all clips in its library. Your subscription grants you a non-exclusive, non-transferable license to use the clips you request, subject to the following conditions:

• You may use them only on the single YouTube channel named at checkout.
• You may edit, cut and add commentary, music or text to them.
• Each clip must be published with your own creative input (editing, text, commentary, music or voice-over). Raw, unedited reuploads are not allowed.
• Reuploads to TikTok, Instagram, Facebook or other platforms require written approval.

4. Prohibited uses

You may not:

• resell, share, sublicense or redistribute the clips or the files;
• use the clips on another channel, or for advertising or a commercial campaign;
• claim ownership of the clips or register them in any rights management system, including Content ID.

5. Content ID

TBViral clips are protected by YouTube Content ID. For each clip used, the Subscriber sends the link to the video through the request form, and TBViral whitelists that video so it is not claimed. Undeclared videos, or clips used beyond the quota, may be claimed. After cancellation, videos already whitelisted stay whitelisted, and any new use will be claimed.

6. Billing and cancellation

• Payments are processed by Stripe. Subscriptions renew automatically at the end of each period.
• Monthly plans have no commitment. You can cancel at any time from your customer portal.
• Cancellation takes effect at the end of the current paid period. No prorated refunds are given, including on annual plans.
• Videos published during your subscription stay licensed after cancellation. Any new use after cancellation will be claimed.

7. Taxes

• Subscribers in France: VAT not applicable, article 293 B of the French General Tax Code.
• Business subscribers in the European Union: reverse charge applies. The Subscriber must provide a valid VAT number and is liable for VAT in their country.
• Subscribers outside the European Union: VAT not applicable, article 259-1 of the French General Tax Code. Any local taxes are the Subscriber's responsibility.

8. Late payment

Any amount not paid on its due date bears late payment interest at the European Central Bank rate plus 10 percentage points, along with a fixed fee of €40 for recovery costs (articles L441-10 and D441-5 of the French Commercial Code). Access may be suspended until full payment.

9. Breach

Any use outside these Terms will be invoiced at €150 per clip, or the claim will be maintained, at TBViral's choice.

In case of non-payment or a serious breach, TBViral may terminate the subscription immediately and reactivate claims on all videos concerned.

10. Liability

Clips are provided as is. TBViral's total liability is limited to the amounts paid by the Subscriber over the last 12 months.

11. Personal data

TBViral processes the personal data needed to manage subscriptions (name, email, company details, channel URL, billing information). For more details, see our Privacy Policy at tbviral.com/legal/privacy.

12. Language

These Terms are available in French and English. In case of discrepancy, the French version prevails.

13. Governing law

These Terms are governed by French law. Any dispute falls under the jurisdiction of the courts of Paris, France.
